Terms of Service

Welcome to eechat. These Terms of Service (“Terms”) govern your access to and use of the eechat platform, products, and services (collectively, the “Service”). By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “eechat”, “we”, “us”, or “our” means the company operating the Service.
  • “User”, “you”, or “your” means any person or entity using the Service.
  • “Content” means any text, data, articles, images, documents, or other materials you upload to, generate with, or transmit through the Service.

2. Eligibility and Account Registration

  • Age & Capacity: You must be at least 18 years old and have the legal capacity to enter into binding agreements.
  • Registration: To use certain features of the Service, you must create an account and provide accurate, complete, and current registration information.
  • Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

3. Subscription Plans and Billing

  • Plans: eechat offers a Free tier and paid subscription plans (e.g., Pro). Detailed features and pricing for each plan are published on the website.
  • Billing & Payment: Fees are billed in advance on a recurring basis (monthly or annual). You authorize us to charge the payment method you provide.
  • Auto-Renewal: Unless you cancel before the end of your current term, your subscription will automatically renew.
  • Refunds: Except as required by applicable law or as determined at our sole discretion, subscription fees are non-refundable.

4. Use of the Service

  • Permitted Use: You may use the Service solely for your internal business purposes and in accordance with these Terms.
  • Prohibited Conduct: You must not:
    • Violate any applicable law or regulation.
    • Infringe any third-party rights (including intellectual property or privacy rights).
    • Transmit harmful code (viruses, malware) or spam.
    • Reverse-engineer, decompile, or otherwise attempt to discover source code.
    • Interfere with or disrupt the integrity or performance of the Service.

5. Intellectual Property

  • Our Rights: All intellectual property rights in the Service, including software, designs, logos, documentation, and trade names, are owned by or licensed to eechat.
  • Your Content: You retain ownership of any Content you submit or generate. By submitting Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such Content solely to provide the Service.

6. Data Privacy and Security

Your personal data and usage information will be collected, processed, and retained in accordance with our Privacy Policy. By using the Service, you agree to the terms of the Privacy Policy.

Each party agrees to keep confidential all confidential information disclosed by the other party, and not to use such information except as necessary to perform its obligations under these Terms.

8. Disclaimers and Warranties

  • “As-Is”: The Service is provided “as is” and “as available,” without warranties of any kind.
  • No Guarantee: We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by law, eechat and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Service.

10. Termination

  • By You: You may cancel your subscription or delete your account at any time through your account settings.
  • By Us: We may suspend or terminate your access for violation of these Terms or if we believe it is necessary to protect our rights or others.

11. Changes to Terms

We may modify these Terms at any time by posting a revised version on our website. We will notify you of material changes by email or in-app notification. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China, excluding conflict-of-law rules. Any dispute arising out of or relating to these Terms will be resolved by binding arbitration in Shanghai, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
